Terms and Conditions for Scholar's Edge Test Prep Tutoring Services

These Terms and Conditions govern the Scholar’s Edge website and the educational services offered by Scholar's Edge, LLC.
Please read these Terms carefully. By using the Scholar’s Edge website, submitting an inquiry, scheduling a consultation, purchasing services, signing an enrollment agreement, or participating in Scholar’s Edge services, you agree to these Terms to the extent applicable to you.
Scholar's Edge, LLC, doing business as Scholar’s Edge, provides test preparation, academic support, and college application consulting services for students in grades 7–12.

The address above is the company’s business mailing address and does not necessarily identify the location of every in-person service.
Scholar’s Edge provides student services to students in grades 7–12.
A parent or legal guardian must enroll and accept financial responsibility for a Student who is under 18 years of age. By enrolling a minor Student, the Client represents that the Client has legal authority to authorize services for that Student.
A Student who is 18 or older may enter into an agreement directly with Scholar’s Edge. Scholar’s Edge will not disclose an adult Student’s confidential educational or application information to a parent or another person without the adult Student’s authorization, except as permitted or required by law.
Because some seventh-grade Students may be under 13, a parent or guardian should complete intake, enrollment, payment, and account forms on behalf of any Student under 13. A Student under 13 should not independently submit personal information through the website without parent or guardian involvement.
Before paid services begin, the Client will receive or be given access to copies of:
The Client may also receive a Program Confirmation describing the particular program, package, schedule, session count, format, price, payment arrangement, expiration date, and included deliverables.
Together, these documents form the agreement between Scholar’s Edge and the Client.
If the documents conflict:
No promotional post, informal message, oral conversation, or general website description changes the scope of a purchased program unless Scholar’s Edge confirms the change in writing.
Depending on availability and the Client’s enrollment, Scholar’s Edge may provide:
Services may be delivered in person, online, or through a combination of formats.
The availability, structure, instructor, meeting location, platform, included materials, number of sessions, and specific deliverables may vary by program.
Scholar’s Edge may begin with a diagnostic assessment, practice test, consultation, review of previous scores, academic-history review, or discussion of the Student’s goals.
Based on available information, Scholar’s Edge may recommend:
Recommendations are educational judgments based on the information reasonably available at the time. A plan may change based on diagnostic findings, attendance, completed work, new test results, changes in goals, revised test dates, or other relevant circumstances.
Scholar’s Edge does not guarantee that an initial recommendation will remain appropriate if the Client or Student provides incomplete, inaccurate, or outdated information.
The Services included in an enrollment are limited to those expressly identified in the applicable Program Confirmation.
Unless expressly included, an enrollment does not automatically include:
Additional work must be approved by Scholar’s Edge and the Client in writing and may require additional fees.
Informal questions, text messages, or occasional assistance do not permanently expand the scope of a program.
Fees paid to Scholar’s Edge purchase educational instruction, planning, preparation, feedback, research, professional knowledge, and advisory services.
The Client is purchasing an educational process—not a guaranteed result.
Fees are not contingent on the Student achieving a particular score, receiving an admission offer, earning a scholarship, completing an application, or receiving any other outcome.
Scholar’s Edge does not guarantee:
Student outcomes depend on many factors outside Scholar’s Edge’s control, including the Student’s starting level, attendance, effort, preparation time, completion of assigned practice, accuracy of information provided, motivation, testing conditions, health, test-day performance, institutional policies, and decisions made by third parties.
Testimonials, historical outcomes, examples, score ranges, or descriptions of other Students’ results do not guarantee that another Student will achieve the same result.
The Client and Student agree to:
The effectiveness of Scholar’s Edge’s services depends on the Client and Student fulfilling these responsibilities.
Scholar’s Edge is not responsible for outcomes affected by inaccurate information, missed sessions, uncompleted assignments, delayed responses, missed deadlines, failure to review communications, or decisions made contrary to guidance provided.
The Client and Student are responsible for:
Scholar’s Edge may provide general information concerning testing procedures, but Scholar’s Edge does not control test registration, testing locations, official scoring, score cancellation, security investigations, technical failures, or decisions made by a testing organization.
The Client and Student are responsible for requesting and obtaining accommodations through College Board, ACT, a school district, or another appropriate organization.
An IEP, 504 Plan, school accommodation, medical diagnosis, or previous accommodation does not automatically establish that the same accommodation has been approved for a standardized test.
Scholar’s Edge may help a family understand general accommodation procedures but cannot approve an accommodation, guarantee approval, change an official testing record, or control the decision or timing of a testing organization.
The Client must notify Scholar’s Edge of approved accommodations that affect the Student’s preparation plan.
College application consulting is an educational and advisory service.
Scholar’s Edge may help the Student:
The Student and Client remain responsible for:
Scholar’s Edge ordinarily will not submit an application, sign a certification, or accept application terms on the Student’s behalf.
If Scholar’s Edge assists a Student while the Student is working within an application account, the Student and Client must personally review and approve all information before final submission.
College requirements, deadlines, admission practices, testing policies, and application platforms may change without notice. Official information provided by the institution or platform controls.
The Student must remain the genuine author of all essays, application responses, résumés, activities descriptions, and other materials submitted in the Student’s name.
Scholar’s Edge may:
Scholar’s Edge will not knowingly:
Scholar’s Edge may refuse or terminate services when a Client or Student requests assistance that Scholar’s Edge reasonably believes is dishonest, misleading, unlawful, or contrary to school or application rules.
Scholar’s Edge may use professional technology, including artificial-intelligence-assisted tools, to support internal research, planning, organization, administrative work, professional communications, or feedback.
When Scholar’s Edge uses such tools:
The Student is responsible for complying with the AI policies of the Student’s school, colleges, scholarship providers, and application platforms.
The Student may not submit AI-generated writing as the Student’s own work when doing so would violate an applicable policy or misrepresent authorship.
The Student and Client remain responsible for the accuracy, authenticity, and integrity of all submitted materials.
All sessions must be scheduled in advance through an approved scheduling system or direct communication with Scholar’s Edge.
Scheduling is subject to instructor availability, program availability, holidays, testing calendars, and other operational considerations.
A recurring appointment reserves a particular time only for the period confirmed by Scholar’s Edge. Scholar’s Edge does not guarantee that a particular time will remain available indefinitely.
Requests to change a regular schedule are subject to availability.
Scholar’s Edge may adjust an instructor, room, online platform, or other logistical detail when reasonably necessary.
Unless a Program Confirmation states otherwise, the following policy applies to individually scheduled sessions:
Cancellation notice must be provided through a communication method approved by Scholar’s Edge. A message is considered received when it reaches Scholar’s Edge—not when it is sent to an incorrect number, address, or platform.
Scholar’s Edge may consider exceptions for a genuine emergency at its discretion. Granting an exception once does not require Scholar’s Edge to grant a future exception.
A Student who arrives late is entitled only to the remaining portion of the scheduled session. The session will ordinarily end at the originally scheduled time so that later appointments are not disrupted.
A late arrival does not reduce the session price.
If the Student does not attend and no timely notice is provided, Scholar’s Edge may treat the session as a no-show.
If an instructor is late, Scholar’s Edge will make reasonable efforts to provide the full instructional time, extend the session when practical, or arrange an appropriate replacement or credit.
Group programs reserve a limited seat for the Student.
Test-preparation small groups are generally capped at five Students unless the specific program description or Program Confirmation states a different maximum.
A stated maximum is not a guarantee that a particular number of Students will enroll or attend.
Group placement may consider:
Scholar’s Edge does not guarantee a particular group composition, instructor, or number of Students below the stated maximum.
Unless the Program Confirmation expressly states otherwise:
Scholar’s Edge may require minimum enrollment for a group, workshop, or bootcamp to proceed.
If Scholar’s Edge cancels a program because minimum enrollment is not reached, the Client may be offered:
Program-specific cancellation and refund terms stated in the Program Confirmation control over general individual-session policies.
For online sessions, the Client is responsible for providing:
Scholar’s Edge is not responsible for interruptions caused by the Client’s equipment, internet provider, power service, account settings, or third-party platform.
If a significant technical problem prevents meaningful instruction, Scholar’s Edge will determine whether the circumstances reasonably support continuing, rescheduling, or crediting the affected portion of the session.
Short interruptions that do not materially prevent instruction ordinarily do not result in a refund or credit.
The Client is responsible for:
Scholar’s Edge provides educational services and does not provide childcare, transportation, custodial supervision, medical supervision, or supervision outside the scheduled service period.
The Client must make appropriate arrangements for the Student before and after a session.
Scholar’s Edge may end or decline an in-person session when conditions are unsafe, disruptive, inappropriate, or materially interfere with instruction.
Fees and payment schedules will be stated in the applicable Program Confirmation, invoice, registration page, or Services Agreement.
Unless otherwise stated:
Scholar’s Edge may change prices for future purchases. A future price change will not retroactively change the price of a package already purchased, unless the Client and Scholar’s Edge agree to modify the package.
Where a payment plan is offered for a fixed-price program, the payment plan is a method of paying the program price. Withdrawal from the program does not automatically cancel remaining installments unless the Program Confirmation expressly provides otherwise or applicable law requires otherwise.
The Client should contact Scholar’s Edge promptly to attempt to resolve a billing concern before initiating a payment dispute or chargeback. Nothing in this provision waives a legal right that cannot lawfully be waived.
Prepaid packages are for future services and may not be applied retroactively to previously provided or unpaid services.
Unless a different expiration date is stated in the Program Confirmation:
Programs with established start dates, end dates, test dates, application deadlines, or cohort schedules may expire at the end of the stated program period rather than under the general 12-month rule.
Except where expressly stated in a Program Confirmation or required by law:
If the Client is dissatisfied with the instructor assigned for an initial one-on-one session, the Client must contact Scholar’s Edge within 24 hours after that first session.
Scholar’s Edge will make reasonable efforts to offer a suitable reassignment. The completed first session remains chargeable.
If Scholar’s Edge is unable to provide a suitable replacement instructor, Scholar’s Edge will refund the unused prepaid balance for the affected one-on-one services.
If Scholar’s Edge permanently cannot provide purchased services and cannot offer a reasonable alternative accepted by the Client, Scholar’s Edge will provide an appropriate refund or credit for services not provided.
Nothing in these Terms eliminates refund or consumer rights that cannot lawfully be waived.
Scholar’s Edge may use owners, employees, or independent contractors to provide services.
All tutors assigned to work directly with minor Students must complete Scholar’s Edge’s qualification and screening process, including a criminal background check, before providing services.
Scholar’s Edge assigns instructors based on subject expertise, format, schedule, program needs, and Student fit.
Scholar’s Edge does not guarantee that a particular instructor will remain available for every session or throughout an entire program.
Scholar’s Edge may reassign an instructor because of illness, availability, scheduling, performance considerations, emergency, business needs, or other reasonable circumstances.
Requests for a different instructor are subject to availability and do not guarantee an immediate replacement or a particular instructor.
Scholar’s Edge may communicate with the Client by:
Service communications may include:
Scholar’s Edge will make reasonable efforts to respond to routine communications within one business day. Complex questions, document reviews, weekends, holidays, emergencies, and high-volume testing or application periods may require additional time.
The Client is responsible for monitoring the contact information provided during enrollment and notifying Scholar’s Edge when that information changes.
Sensitive records, identification documents, medical information, passwords, or account credentials should not be sent through ordinary text message or unsecured email unless Scholar’s Edge specifically directs the Client to use an approved method.
Scholar’s Edge may send written summaries after important meetings, calls, recommendations, or decisions.
A recap may identify:
The Client agrees to review these communications and promptly notify Scholar’s Edge if a recap does not accurately reflect the Client’s understanding.
Material changes to price, scope, deliverables, or program obligations must be confirmed in writing.
With parent or guardian authorization, Scholar’s Edge may communicate directly with a minor Student regarding:
The parent or guardian remains the contracting Client and may request to be copied on communications.
Authorization for direct Student communication does not constitute permission for marketing messages, media use, or sharing the Student’s information with unrelated parties.
A parent or guardian may withdraw direct-communication permission by notifying Scholar’s Edge in writing. Withdrawal may affect Scholar’s Edge’s ability to provide certain services efficiently.
Scholar’s Edge handles personal information according to the Scholar’s Edge Privacy Policy, which is incorporated into these Terms by reference.
Information handled by Scholar’s Edge may include:
Scholar’s Edge may share information with service providers reasonably necessary to operate the business and deliver services, including scheduling, payment, website, email, text, videoconferencing, cloud-storage, form, and document-management providers.
Scholar’s Edge may also disclose information:
Scholar’s Edge will not represent that electronic information can be made completely immune from unauthorized access or disclosure.
Scholar’s Edge will not ordinarily contact a Student’s school counselor, teacher, testing coordinator, healthcare provider, educational evaluator, therapist, or another outside professional about the Student without appropriate authorization.
When information must be obtained from or shared with an outside person or organization, Scholar’s Edge may require a separate signed release identifying:
Authorization may be withdrawn in writing, but withdrawal does not invalidate disclosures already made in reliance on valid authorization.
Scholar’s Edge may refuse to exchange information when authorization is incomplete, unclear, expired, or inconsistent with applicable law or professional judgment.
Scholar’s Edge may maintain:
Records may be retained for business, tax, insurance, dispute-resolution, and legal purposes and will be handled as described in the Privacy Policy.
Scholar’s Edge uses reasonable administrative, technical, and physical measures to protect information. No electronic system, transmission method, or storage system is completely secure, and Scholar’s Edge cannot guarantee absolute security.
Requests to access, correct, or delete information are subject to identity verification and may be limited by legal, contractual, operational, tax, insurance, or record-retention requirements.
Enrollment does not automatically authorize Scholar’s Edge to use an identifiable minor Student’s photograph, video, name, testimonial, voice, likeness, application material, or score report for marketing.
Media use requires separate, affirmative, optional authorization from the parent or legal guardian or from an adult Student.
Declining media permission will not affect enrollment or services.
A media release may separately address:
Permission may be withdrawn for future use by written notice. Withdrawal may not require Scholar’s Edge to retrieve material that was previously printed, distributed, or lawfully published before the withdrawal was received.
Scholar’s Edge retains all rights in its original:
The Client and Student receive a limited, personal, nonexclusive, nontransferable license to use provided materials for the enrolled Student’s educational purposes.
Materials may not be:
The Student retains ownership of the Student’s original essays, application responses, and other original work, subject to any separate media authorization.
Official third-party materials remain the property of their respective owners.
A Client or Student may not photograph, audio-record, video-record, screen-record, transcribe, stream, or distribute a session without advance permission from Scholar’s Edge and all participants.
Scholar’s Edge will not record an identifiable Student session for instructional, administrative, or training purposes without appropriate notice and consent.
Unauthorized recording or distribution may result in immediate termination of services and may violate intellectual-property, privacy, or other laws.
Unless expressly stated in a separate written agreement, Scholar’s Edge is an independent educational-service provider and is not affiliated with, sponsored by, endorsed by, or acting on behalf of:
Names and trademarks belonging to third parties are used only to identify the relevant test, organization, platform, or service.
Third-party organizations and platforms have their own rules, terms, privacy practices, schedules, and technical systems.
Scholar’s Edge is not responsible for:
Official third-party information controls when it conflicts with general educational information provided by Scholar’s Edge.
Laws, institutional rules, campus policies, residency requirements, healthcare requirements, safety considerations, financial-aid practices, and other conditions may vary by institution and jurisdiction and may change without notice.
The Client and Student are responsible for investigating and determining whether they are comfortable with the laws, policies, costs, campus environment, location, and other conditions applicable to any institution or state under consideration.
Scholar’s Edge does not provide legal, tax, investment, immigration, medical, mental-health, or individualized financial advice.
Students, Clients, and instructors must maintain respectful, safe, and professional conduct.
Prohibited conduct includes:
Scholar’s Edge may end a session immediately when conduct creates a safety concern, materially disrupts instruction, or violates these Terms.
A session ended because of Student or Client misconduct may remain fully chargeable.
The engagement ends upon the earliest of:
Either Scholar’s Edge or the Client may terminate an ongoing engagement by written notice.
Scholar’s Edge may suspend or terminate services immediately for:
Upon termination:
If Scholar’s Edge terminates an engagement without Client or Student breach and cannot provide a reasonable alternative, Scholar’s Edge will generally refund the unearned portion of prepaid services within 30 days.
Scholar’s Edge will not be responsible for delays, changes, or inability to perform caused by circumstances beyond its reasonable control, including:
Scholar’s Edge will make reasonable efforts to notify affected Clients and, where appropriate, reschedule services or provide a reasonable credit, alternative, or refund for services Scholar’s Edge cannot provide.
The Scholar’s Edge website and its content are provided for personal, informational, and educational use.
Users may not:
Scholar’s Edge may restrict or terminate access to the website when it reasonably believes a user has violated these Terms.
Scholar’s Edge makes reasonable efforts to provide helpful and accurate educational information. However:
The Client and Student should verify important deadlines, requirements, and decisions directly with the relevant official organization.
TO THE FULLEST EXTENT PERMITTED BY LAW, SCHOLAR’S EDGE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM THE WEBSITE OR SERVICES.
THIS INCLUDES, WITHOUT LIMITATION, CLAIMED LOSS OF:
TO THE FULLEST EXTENT PERMITTED BY LAW, SCHOLAR’S EDGE’S TOTAL LIABILITY ARISING FROM A PARTICULAR SERVICE WILL NOT EXCEED THE AMOUNT THE CLIENT PAID SCHOLAR’S EDGE FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
This limitation does not apply to liability that cannot lawfully be excluded or limited, including liability to the extent caused by gross negligence, intentional misconduct, or another obligation that applicable law does not permit the parties to waive.
Scholar’s Edge is not liable for decisions, delays, errors, outages, or conduct of testing organizations, schools, colleges, scholarship providers, payment processors, application platforms, internet providers, or other independent third parties.
Nothing in these Terms waives a consumer right or legal remedy that cannot lawfully be waived.
To the extent permitted by law, the Client agrees to defend, indemnify, and hold harmless Scholar’s Edge from third-party claims, losses, or reasonable expenses arising from:
This provision does not require the Client to indemnify Scholar’s Edge for a claim caused by Scholar’s Edge’s own gross negligence, intentional misconduct, or conduct for which indemnification cannot lawfully be required.
The parties agree to attempt to resolve concerns promptly and professionally.
Before filing a lawsuit, a party must provide written notice describing:
The parties will make a good-faith effort to resolve the dispute informally for at least 30 days after the notice is received.
If the dispute is not resolved, the parties agree to attempt nonbinding mediation in Tarrant County, Texas, before proceeding with litigation, except as stated below.
The mediator will be selected by mutual agreement. Unless the parties agree otherwise:

If mediation does not resolve the dispute, any legal action must be brought in a court of appropriate jurisdiction located in Tarrant County, Texas.
Each party will bear its own attorney fees unless a statute, enforceable agreement, or court order provides otherwise.
These Terms and the relationship between Scholar’s Edge and the Client are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Scholar’s Edge may update these Terms prospectively to reflect changes in:
The effective or updated date at the top of the page will identify the current version.
Material changes affecting active Clients will be communicated by email or another reasonable method.
A change to website Terms will not retroactively alter the core price or defined scope of an existing paid enrollment without the Client’s agreement, except where a change is reasonably required for legal compliance, safety, or protection of personal information.
Continued website use after updated Terms are posted constitutes acceptance of website-related changes to the extent permitted by law.
Material changes to a signed Services Agreement must be accepted in writing or through an electronic record.
These Terms, the Privacy Policy, the signed Parent/Student Services Agreement, and the applicable Program Confirmation constitute the complete agreement concerning the purchased services.
They replace prior discussions or representations concerning the same subject, except for a written amendment accepted by both parties.
Neither party is relying on an oral promise, guarantee, or representation that is not included in the applicable written documents.
A signed Services Agreement or Program Confirmation may be amended only through a written or electronic record accepted by Scholar’s Edge and the Client.
A text or email may document an operational scheduling change, but it does not modify a material contractual term unless it clearly states the agreed change.
If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted or removed to the minimum extent necessary.
The remaining provisions will continue in effect.
A party’s delay or failure to enforce a provision does not waive the right to enforce that provision later.
Granting an exception on one occasion does not require a similar exception in the future.
The Client may not transfer the agreement, program enrollment, package, or unused sessions to another person without written approval from Scholar’s Edge.
